Please read these Terms of Service carefully before using the Neuvex platform. By accessing or using our services, you agree to be bound by these terms. If you do not agree, you should not use the platform.

In these Terms of Service, the following terms have the meanings set out below:
By accessing or using the Neuvex Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
These Terms of Service apply to all Users of the Platform. Clients are additionally subject to any separate order forms, subscription agreements, or service level agreements entered into with Neuvex.
Access to the Platform is granted to Users by their organisation's administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Neuvex or your organisation's administrator immediately if you suspect unauthorised access to your account.
Neuvex reserves the right to suspend or terminate access to the Platform where there is evidence of misuse, breach of these terms, or behaviour that may harm the integrity of the Platform or other users.
The Platform is provided for lawful use in connection with work-based learning, apprenticeships, and skills assessment. You agree not to:

All intellectual property rights in the Neuvex Platform, including its software, design, trademarks, and documentation, are owned by or licensed to Neuvex. Nothing in these Terms of Service grants you any rights in the Platform other than the right to use it in accordance with these terms.
You retain ownership of all Content you upload to the Platform. By uploading Content, you grant Neuvex a limited licence to host, store, and display that Content solely for the purpose of providing the Platform services to you.
Neuvex will use reasonable endeavours to ensure the Platform is available and performs to a high standard. We aim to provide advance notice of planned maintenance windows that may result in downtime. However, we do not guarantee uninterrupted access to the Platform and shall not be liable for any loss caused by temporary unavailability.
Support is available through our helpdesk at help.neuvex.co.uk. Response times and support scope are as agreed in your subscription or service level agreement.
Neuvex processes personal data in accordance with our Privacy Policy and applicable data protection legislation. Where Neuvex processes personal data on behalf of a Client, it does so as a data processor under the terms of a Data Processing Agreement. Clients are responsible for ensuring they have appropriate lawful bases to share personal data with Neuvex.
Each party agrees to keep confidential any information of a sensitive or proprietary nature disclosed by the other party in connection with the Platform or these Terms of Service, and not to disclose such information to any third party without prior written consent, except as required by law.
To the fullest extent permitted by applicable law, Neuvex shall not be liable for any indirect, incidental, consequential, or special loss or damage arising out of or in connection with your use of the Platform, including but not limited to loss of data, loss of revenue, or loss of business opportunity.
Neuvex's total liability to any Client or User in respect of any claim arising under or in connection with these Terms of Service shall not exceed the total fees paid by that Client in the twelve months preceding the claim.
Either party may terminate a subscription in accordance with the terms of the applicable subscription or service agreement. Neuvex may suspend or terminate access to the Platform immediately if a Client or User breaches these Terms of Service, fails to pay any amounts due, or engages in conduct that Neuvex reasonably considers harmful to the Platform or other users.
Upon termination, Clients may request an export of their data for a reasonable period, after which Neuvex will securely delete all associated data in accordance with our data retention policies.
Neuvex reserves the right to update these Terms of Service at any time. Where changes are material, we will provide reasonable notice via email or a notice within the Platform. Continued use of the Platform following such notice constitutes acceptance of the updated terms.
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
